Introduction
About the Tender Offer:
On March 20th, 2025, Amir Noman (the 'Acquirer'), announced a public tender offer to acquire up to 24.99% of the total issued capital of Bela Automotives Limited (BELA), comprising 1,449,450 Ordinary Shares of PKR 10/- each, at a price of PKR 15.33/- per share.
The Public Announcement of Offer was announced through the Pakistan Stock Exchange Limited also published in "Daily Time (English)" and "Roznam-e-Dunya (Urdu)" editions for Karachi, Lahore and Islamabad.
Purpose of the Tender Offer:
This tender offer aligns with Amir Noman strategy to acquire a substantial stake in Bela Automotives Limited, a company listed on the Pakistan Stock Exchange (PSX).

How to Participant in the Tender Offer
To accept the offer, follow these steps starting July 4th, 2025.1. Get the Acceptance Form:

2. Complete the Form:
- Write your name, ID number (CNIC), bank account number (IBAN), and the number of shares you want to offer.
- Questions? Please contact your broke.
3. Transfer your shares to the designated account:
CDC Account Holders: Have your broker transfer your tendered shares to the titled Manager to the Offer - Bela Automotives Limited, and submit the stamped CDC transfer slip along with your acceptance letter and relevant documentation to Adam Securities Limited.
Paper Shares: Fill out your verified transfer deed to Adam Securities, and transfer your paper shares to Adam Securities Limited.
4. Send your paperwork to Adam Securities Limited:
